Forestar Reports Fiscal 2020 Second Quarter Earnings of $0.20 Per Diluted Share

Forestar Group Inc. ("Forestar") (NYSE: FOR), a leading national residential lot developer, today reported financial results for its second quarter ended March 31, 2020. Net income attributable to Forestar for the second quarter of fiscal 2020 was $9.6 million, or $0.20 per diluted share, compared to $10.1 million, or $0.24 per diluted share, in the same quarter of fiscal 2019. Revenues for the second quarter of fiscal 2020 increased 144% to $159.1 million from $65.3 million in the same quarter of fiscal 2019. Residential lots sold in the quarter increased 256% to 1,951 lots compared to 548 lots in the same quarter of fiscal 2019.

Net income attributable to Forestar for the six months ended March 31, 2020 increased 97% to $26.4 million, or $0.55 per diluted share, compared to $13.4 million, or $0.32 per diluted share, in the same period of fiscal 2019. Revenues for the six months ended March 31, 2020 increased 292% to $406.4 million from $103.8 million in the same period of fiscal 2019. Residential lots sold in the first six months of fiscal 2020 increased 310% to 4,373 lots compared to 1,066 lots sold in the same period of fiscal 2019.

The Company's lot position at March 31, 2020 consisted of 52,300 lots, of which 35,800 were owned and 16,500 were controlled through purchase contracts. Of the Company's owned lot position, 28,600 lots, or 80%, were under contract to sell or subject to a right of first offer to D.R. Horton, Inc. ("D.R. Horton") at March 31, 2020.

The Company ended the second quarter with $438.2 million of unrestricted cash and $349.0 million of available borrowing capacity on its senior unsecured revolving credit facility for total liquidity of $787.2 million. In February 2020, the Company issued $300 million of 5.0% senior notes. The notes are due March 1, 2028, with interest payable semi-annually. In March 2020, the Company repaid $118.9 million of its 3.75% convertible senior notes in cash at maturity. Debt at March 31, 2020 totaled $640.1 million, with no senior note maturities until fiscal 2024, and the Company's net debt to total capital ratio was 19.5%. Net debt to total capital consists of debt net of unrestricted cash divided by stockholders’ equity plus debt net of unrestricted cash.

COVID-19

Economic fundamentals remained solid in the housing and residential lot development markets throughout most of the second quarter of fiscal 2020. During the latter part of March and to date in April, the impacts of the COVID-19 pandemic (COVID-19) and the related widespread reductions in economic activity have temporarily affected the Company’s business operations and the demand for its residential lots. The Company's lot sales pace has declined as homebuilders have slowed their purchases of lots to adjust to lower levels of home sales orders as a result of the pandemic.

In almost all municipalities across the U.S. where social distancing and other restrictions have been issued, residential construction has been designated an essential business as part of critical infrastructure. The Company has continued its lot development operations in those markets where allowed in order to supply homebuilders with finished lots for residential construction. The Company has implemented operational protocols to comply with social distancing and other health and safety standards as required by federal, state and local government agencies, taking into consideration guidelines of the Centers for Disease Control and Prevention and other public health authorities.

The Company's results of operations can be affected by changes in economic conditions that negatively impact the housing and land development markets. There is significant uncertainty regarding the extent to which and how long COVID-19 and related government directives, actions and economic relief efforts will disrupt the U.S. economy, capital markets and demand for the Company's lots. The extent to which COVID-19 impacts Forestar's operational and financial performance will depend on future developments, including the duration and spread of COVID-19 and the impact on the Company's customers, trade partners and employees, all of which are highly uncertain and cannot be predicted.

As previously reported, due to the current uncertainty in the U.S. economy and the Company's business operations resulting from COVID-19, the Company has withdrawn its previously issued guidance for both fiscal 2020 and 2021.
