Item 8.01 Other Events.

On September 17, 2018, Cigna Corporation ("Cigna") issued a press release announcing that the United States Department of Justice has cleared the pending merger of Cigna and Express Scripts Holding Company, terminating the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976.  A copy of Cigna's press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
