Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On September 26, 2006, First Community Bancshares, Inc.’s board of directors amended its bylaws to provide for an Audit Committee comprised of three or more members. Previously, the bylaws provided for an Audit Committee consisting of three members. A copy of the resolution is attached hereto as Exhibit 3.1.
