Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     On December 20, 2005, the Board of Directors of Cooper Tire & Rubber Company, a Delaware corporation (the “Company”), appointed Robert W. Huber, age 55, to serve as principal accounting officer of the Company effective as of January 1, 2006. Since joining the Company in December 1984, Mr. Huber has served in a number of positions, including most recently as Director of Corporate Accounting from July 2000 through August 2005, and since then as Director of External Reporting. Mr. Huber will hold his offices until a successor is selected and qualified.
