Item 3.01   Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
     As previously announced, due to the unprecedented decline in the trading prices of shares of companies engaged in real estate related activities, on November 13, 2008, the New York Stock Exchange notified Woodbridge Holdings Corporation (the “Company”) that its Class A Common Stock had fallen below the New York Stock Exchange’s continued listing requirement regarding average global market capitalization over a consecutive 30 trading day period. As a result, the Company’s Class A Common Stock will be suspended from trading on the New York Stock Exchange beginning with the opening of trading on Thursday, November 20, 2008. The Company anticipates that its Class A Common Stock will be quoted on the Pink Sheet Electronic Quotation Service under the trading symbol WDGH as soon as the New York Stock Exchange suspends trading. In addition, the Company is considering applying for its Class A Common Stock to be listed for trading on the OTCQX; however, there is no assurance that the Company’s Class A Common Stock will be listed for trading on the OTCQX.
