On December 11, 2006, IntercontinentalExchange, Inc. (“ICE”) issued a press release announcing the certified results of the Board of Trade of the City of New York, Inc. (“NYBOT”) member vote on the Agreement and Plan of Merger, dated as of September 14, 2006, as amended on October 30, 2006, by and among ICE, NYBOT and CFC Acquisition Co., which is the merger subsidiary. A copy of the press release is attached to this report as Exhibit 99.1 and is incorporated herein by reference.
