ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
          On November 6, 2006, Interface, Inc. (the “Company”), in connection with its previously announced public offering of its Class A Common Stock, par value $0.10 per share (the “Common Stock”), entered into an Underwriting Agreement (the “Underwriting Agreement”)with Citigroup Global Markets Inc., Raymond James & Associates, Inc., Stifel, Nicolaus & Company, Incorporated, SunTrust Capital Markets, Inc. and BB&T Capital Markets, a division of Scott & Stringfellow, Inc. (the “Underwriters”). Upon the terms and subject to the conditions set forth in the Underwriting Agreement, the Company has agreed to sell the Underwriters up to 5,000,000 shares of Common Stock at a price per share of $14.6500, less an underwriting discount of $0.8424 per share. The offering is expected to close on November 10, 2006 and is subject to customary closing conditions. The Company has also granted the Underwriters a 30-day option to purchase up to an additional 750,000 shares of Common Stock to cover over-allotments, if any.
          A copy of the Underwriting Agreement is attached as Exhibit 1.1.

          On November 7, 2006, the Company issued a press release to announce the pricing of its public offering of shares of its Common Stock. A copy of the press release is attached as Exhibit 99.1.
