Item 2.02. Results of Operations and Financial Condition.
On August 7, 2006, Wabash National Corporation issued a press release announcing that its
second quarter earnings release and conference call previously scheduled for Tuesday, August 8 is
being postponed due to the need to finalize the financial statements which have been delayed as a
result of the May 1 implementation of a new Enterprise Resource Planning (ERP) system. A copy of
the Registrant’s press release is attached as Exhibit 99.1 and is incorporated herein by reference.
The foregoing information is to be considered “filed” for purposes of Section 18 of the Securities
Exchange Act of 1934.
