Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b)

On August 8, 2005, James C. Thompson, a member of the board of directors of Texas Capital Bancshares, Inc., notified the company that he was resigning from its board of directors, effective immediately. Mr. Thompson has agreed to continue serving the company as a Director Emeritus, in which position he will continue to be available to the board of directors in a purely advisory role that does not receive compensation.
