Item 8.01. Other Events.
     On February 27, 2009, Noble Energy, Inc. (the “Company”) completed an underwritten public offering of $1,000,000,000 aggregate principal amount of 8.25% senior notes due March 1, 2019 (the “Notes”). The Notes are governed by the terms of an Indenture, dated as of February 27, 2009, between the Company and Wells Fargo Bank, National Association as trustee (the “Indenture”), as supplemented by the First Supplemental Indenture, dated as of February 27, 2009. The Notes are unsecured obligations of the Company. Substantially all of the net proceeds from the offering will be used to repay outstanding indebtedness under the Company’s revolving credit facility maturing 2012. The Notes have been registered under the Securities Act of 1933 (the “Act”) pursuant to a Registration Statement on Form S-3ASR (Reg. No. 333-157406) previously filed with the Securities and Exchange Commission (the “SEC”) by the Company under the Act. The terms of the Notes are further described in the Company’s prospectus supplement dated February 25, 2009, as filed with the SEC under Rule 424(b)(5) of the Act on that date, which description is incorporated herein by reference.
     In connection with the issuance and sale of the Notes, the Company entered into an Underwriting Agreement, dated as of February 24, 2009, with Deutsche Bank Securities Inc., J.P. Morgan Securities Inc., Barclays Capital Inc., Greenwich Capital Markets, Inc. and UBS Securities LLC, as representatives of the several underwriters named therein.
     A copy of the Underwriting Agreement, the Indenture and the First Supplemental Indenture have been filed as Exhibits 1.1, 4.1 and 4.2, respectively, to this report and are incorporated herein by reference.
