Item 5.02.   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
     On December 4, 2006, the Board of Directors of Friedman Industries, Incorporated (the “Company”) voted to increase the size of the board from eight to nine members and elected Durga D. Agrawal to fill the vacancy. In addition, Dr. Agrawal was appointed to serve on the Nominating Committee of the Board of Directors. Dr. Agrawal will receive the customary compensation paid to the Company’s outside directors, which is currently $2,000 per quarter.
     Dr. Agrawal received a BS in Mechanical Engineering from the University of Delhi, India. Following his bachelor’s degree, he studied Industrial Engineering at the University of Houston, earning an MS in 1969 and a Ph.D. in 1974. Dr. Agrawal founded Piping Technology & Products, Inc (“PT&P”) in 1978 and has served as PT&P’s Chief Executive Officer since its formation.
