ITEM 8.01   OTHER EVENTS.
Tenneco Inc. is seeking to amend its senior credit agreement to permit the company to refinance its $500 million senior subordinated notes with new senior, unsecured indebtedness. The company is seeking the amendment to enhance its flexibility with respect to the senior subordinated notes. The company does not expect to incur any fee in connection with the amendment.
