Item 2.05. Costs Associated with Exit or Disposal Activities.

     On December 10, 2009, Commercial Vehicle Group, Inc. (the “Company”) announced the planned closure of its Norwalk, Ohio truck cab assembly facility, as a result of Navistar’s decision to insource the cab assembly operations performed at Norwalk into its existing assembly facility in Escobedo, Mexico. The closure of the Norwalk facility will impact approximately 120 hourly and salaried associates at the facility. The Company expects to continue assembly operations at the Norwalk facility through April 2010.

     The Company is unable to make a determination of the estimated costs and cash expenditures associated with the closure of the Norwalk facility until it completes its transition plan. Once this determination is made, the Company will file an amended report on Form 8-K/A and include such information under Item 2.05.

     A copy of a press release announcing the closure of the Norwalk facility is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
