Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
          (b)      Effective June 7, 2007, Mr. William Landman resigned from the Board of Directors of Russ Berrie and Company, Inc. (the “Company”). The Company expresses its deep gratitude to Mr. Landman for his many years of dedicated service to the Company.
