Item 8.01. Other Events.

         On September 20, 2005, American International Group, Inc. (AIG) issued
a press release announcing that it has issued an initial estimate of its total
expected losses relating to third quarter catastrophe events, principally
Hurricane Katrina, totaling approximately $1.1 billion after-tax.

         A copy of the press release is attached as Exhibit 99.1 to this Current
Report on Form 8-K and is incorporated by reference herein.
