Associate Merger Q&A Posted on Sears’ Internal Website

How will the 401(k) company match for the first quarter of this year be handled?
Sears will continue to contribute the company match for the first quarter of 2005 to eligible associates based on the plan rules*. However, instead of the company match being made in company stock, this quarter’s match will be made in cash. The company match will be applied to the same investment fund(s) that a participant has elected for his/her pre-tax contribution.
*For associates over 40 who chose to remain in the pension plan, the company will match 70 cents for every $1 contributed pre-tax, up to 5% of eligible pay. For associates under 40 and for associates over 40 who chose to cease future pension accruals and receive the enhanced company match, the company will match $1.50 for every $1 contributed pre-tax on the first 1% of eligible pay, and $1 for every $1 contributed pre-tax, up to the next 4% of eligible pay.

With regard to the way the final quarter of the Associate Stock Purchase Plan is being handled (we never actually receive the stock but only a payment in lieu of stock), how will this be viewed for IRS tax purposes? Will this be considered a “sale of stock” or some “other” type of transaction for tax purposes?
The cash payment you receive under the Associate Stock Purchase Plan will contain two elements. The first will be a reimbursement of all your first quarter contributions. This amount is not taxable since it was deducted from your paycheck throughout the quarter on an after-tax basis. The second portion of your payment will consist of any gain you receive, as a result of the first quarter calculation, and will be considered ordinary taxable wages subject to applicable payroll, income and withholding taxes.
