QUALIFIED ACCOUNTANT

The Company has applied for, and the Stock Exchange has granted, a conditional waiver from strict compliance with Rule 3.24 of the Listing Rules in relation to the requirement for the Company to appoint a qualified accountant for the period from 1 January 2008 until 31 December 2010.

Reference is made to the announcement of CNOOC Limited (the “Company”) dated 9 February 2006 regarding a conditional waiver from strict compliance with Rule 3.24 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) (the “Listing Rules”) granted by the Stock Exchange in relation to the requirement for the Company to appoint a qualified accountant (the “Waiver”).  The Waiver expired on 31 December 2007.

The Company has applied for, and the Stock Exchange has granted, a conditional waiver from strict compliance with Rule 3.24 of the Listing Rules in relation to the requirement for the Company to appoint a qualified accountant for the period from 1 January 2008 until 31 December 2010.

Mr. Li Feilong, a member of the senior management team of the Company, meets all the requirements of a qualified accountant as set out in Rule 3.24 of the Listing Rules, except that he is not a fellow or associate member of the Hong Kong Institute of Certified Public Accountants (“HKICPA”) or a similar body of accountants recognized by HKICPA for the purpose of granting exemptions from the examination requirement for membership of HKICPA. Mr. Li Feilong will continue to take up the role of qualified accountant of the Company and will continue to be assisted by Mr. Li Peng, a senior accountant of the Company and a member of the Association of Chartered Certified Accountant (ACCA) in the United Kingdom, for the duration of the waiver.

The waiver granted by the Stock Exchange will cease (i) on 31 December 2010; or (ii) once Mr. Li Peng is no longer able to assist Mr. Li Feilong, whichever is the earlier. When the waiver ceases to have effect, the Company will immediately inform the Stock Exchange and take remedial steps to comply with Rule 3.24 of the Listing Rules.
