Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 28, 2016, Jean M. Birch resigned as a member of the Board of Directors (the Board) of Darden Restaurants, Inc. (the Company) and withdrew her consent to stand for re-election to the Board at the Company's Annual Meeting of Shareholders to be held on September 29, 2016. Ms. Birch's resignation was not a result of a disagreement with the Company, its management or the Board.
At a regularly scheduled meeting of the Board held on September 28, 2016, the Board voted to reduce the size of the Board to seven members to eliminate the vacancy created by Ms. Birch's resignation.
