Results of Operations and Financial Condition.

On November 8, 2010, Invesco Mortgage Capital Inc. (the “registrant”) issued a press release announcing its financial results for the fiscal quarter ended September 30, 2010 (the “Release”). Following issuance of the Release, senior management of the registrant held a previously-announced conference call, open to analysts and the public, in order to discuss the Release (the "Conference Call").
Pursuant to General Instruction F to the Securities and Exchange Commission’s Current Report on Form 8-K, the Release and a transcript of the Conference Call (the "Transcript") are attached to this Report as Exhibits 99.1 and 99.2, respectively, and the information contained in the Release and the Transcript is incorporated into this Item 2.02 by this reference.
