The reporting person undertakes to provide to Amedisys, Inc. (the "Issuer"), any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnotes (2) and (3) to this Form 4.
(3) The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $71.10 to $71.85, inclusive.

(5) The Stock Options are subject to time-based vesting conditions. 5,625 Stock Options vested on June 2, 2016, 5,625 Stock Options vested on June 2, 2017, and the remaining 11,250 Stock Options will vest in installments of 5,625 Stock Options on each of June 2, 2018 and June 2, 2019, provided that the Reporting Person remains continuously employed by the Issuer on each such date, subject to pro-rated vesting provisions as provided in the award agreement for the Stock Options.
