This Amendment No. 1 to Schedule 13G (this "Amendment No. 1") is filed with
respect to the Common Stock of Core-Mark Holding Company, Inc., a Delaware
corporation, to amend the Schedule 13G filed on February 5, 2008 (the "Schedule
13G"). Capitalized terms used but not defined herein have the meaning ascribed
thereto in the Schedule 13G.

this Schedule 13G are calculated based upon a total of 10,737,663 shares of
Common Stock issued and outstanding as of September 30, 2008 as reflected in the
Company's Quarterly Report on Form 10-Q for the quarterly period ended September
30, 2008.
