     On July 1, 2003, Ventas, Inc. (the "Company") announced that it has
completed the previously announced sale of 16 skilled nursing facilities in
Florida and Texas to its primary tenant, Kindred Healthcare, Inc. (Nasdaq:
KIND), which had been leasing those properties from the Company.

     A copy of the press release issued by the Company on July 1, 2003 is
included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated
in this Item 9 by reference.

     The information of this Item 9 to this Current Report on Form 8-K,
including the exhibit, is furnished pursuant to Item 9 and shall not be deemed
