ITEM 5.02.  DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF
            DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

November 1, 2004 - Dale Blachford, resigned from his position as Senior Vice
President, Manager of Retail Banking, for Blackhawk State Bank, a wholly owned
subsidiary of Blackhawk Bancorp, Inc.  His resignation is effective 60 days from
his notice, given on November 1, 2004.
