Item 1.01      Entry into Material Definitive Agreement.

Lithia Motors, Inc. entered into the 10th Amendment to the Loan Agreement with U.S. Bank National Association extending the maturity date of its revolving credit facility to June 30, 2013, and increasing the amount of the facility from $50 million to $75 million. A copy of the 10^th amendment is attached as Exhibit 10.1.
