Item 2.02 Results of Operations and Financial Condition.
On January 2, 2007, Lithia Motors, Inc. issued a press release announcing a cash dividend of $0.14 per share for the fourth quarter of 2006. Shareholders of record as of January 16, 2007 will receive the dividend that will be payable January 30, 2007. A copy of the press release is attached as Exhibit 99.1.
