Item 8.01   Other Events.
     On September 25, 2007, the Company issued a press release pursuant to Rule 135c under the Securities Act of 1933, as amended, announcing a proposed private placement of up to $400.0 million in aggregate principal amount of senior convertible notes plus an option for the initial purchaser to purchase up to an additional $60 million in principal amount of senior convertible notes on the same terms and conditions as those sold in the offering, solely to cover over-allotments. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
