Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

(b) On April 6, 2006, the Board of Directors accepted the resignation of Kathryn L. Taylor as a director of Sonic Corp. (the “Registrant”). Ms. Taylor was elected as the mayor of Tulsa, Oklahoma on April 4, 2006 and resigned her director position to devote more time to her responsibilities as mayor.
