This registration statement relates to the registration of the common stock (the "Common Stock) of Stage Stores, Inc. This registration statement is filed with the Securities and Exchange Commission in connection with the listing of the Common Stock on the New York Stock Exchange, Inc. (the "NYSE"). The Registrant expects trading of its Common Stock to begin on the NYSE on March 16, 2006.
