ITEM 8.01 OTHER EVENTS

 

On April 14, 2006 Mestek, Inc. (the “Company”) issued a press release relating to a lawsuit brought against each of its eight members of the Company’s Board of Directors entitled Alan Kahn v. John E. Reed, et al, filed on April 10, 2006 in the Commonwealth of Massachusetts Superior Court in Hampden County, Civil Action No. 06-350. The lawsuit is related to the Company’s previously announced intention to enter into a “going private” transaction.

 

A copy of a press release issued by the Company with respect to these matters is attached hereto as Exhibit 99.1.
