Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 5, 2018, the Board of Directors (the “Board”) of El Paso Electric Company (the “Company”) elected William A. Stiller as Senior Vice President & Chief Human Resources Officer effective April 16, 2018. Since December 15, 2015, Mr. Stiller has been Senior Vice President of Public and Customer Affairs & Chief Human Resources Officer of the Company. On the same day and effective April 16, 2018, the Board elected Elaina L. Ball as Senior Vice President and Chief Administrative Officer of the Company.
