(1) Each Paired Share is comprised of one share of common stock, par value $0.01 per share, of Extended Stay America, Inc. and one share of Class B common stock, par value $0.01 per share, of ESH Hospitality, Inc., which shares are paired and traded as a single unit.
(2) This Form 3/A is being filed to correct a clerical error in the Form 3/A filed by the reporting person on February 27, 2018, which erroneously reported 32,424 directly held Paired Shares beneficially owned by the reporting person as of April 12, 2017; the correct number is 38,424.
