Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)    Bradley Crews has submitted his resignation as a director of Titan Machinery Inc. (the “Company”), effective February 7, 2019. Mr. Crew’s resignation follows his acceptance of a senior leadership position at CNH Industrial, and is not because of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. CNH Industrial is Titan’s primary supplier of new equipment and parts, including the Case IH Agriculture, New Holland Agriculture, and Case Construction brands.
