DEREGISTRATION OF SECURITIES

On February 2, 2005, Siberian Energy Group Inc. (the "Company" or the "Registrant") filed an Amended Registration Statement on Form SB-2, Registration No. 333-118902 (the "Registration Statement"), for the resale of 13,020,920 shares of common stock, par value $0.001 (the "Common Stock") of the Company.  The Securities and Exchange Commission declared the Registration Statement effective on or around February 4, 2005.  On May 2, 2005, the Company filed a Certificate of Amendment to its Articles of Incorporation with the Secretary of State of Nevada, which affected a 1:2 reverse stock split of all of the Company’s authorized Common Stock (the “Reverse Split”).  As a result of the Reverse Split, the original 13,020,920 shares of Common Stock registered under the Registration Statement now represent 6,510,460 shares of post-Reverse Split Common Stock.  From the effective date of the Registration Statement to the date of this filing, no shares of Common Stock registered in the Registration Statement have been sold pursuant to such Registration Statement.  This Post-Effective Amendment No. 1 to Form SB-2 Registration Statement (the "Post-Effective Amendment") is being filed by the Company to deregister the 6,510,460 Post-Reverse Split unsold shares of Common Stock of the Company covered by the Registration Statement on Form SB-2.
