Item 8.01.

Other Events.


On April 13, 2011, ARMOUR Residential REIT, Inc.(the “Company”) announced that it has closed its previously announced underwritten public offering of 17,000,000 shares of common stock, including 1,000,000 shares pursuant to a partial exercise of an option by the underwriters, at a public offering price of $7.40 per share for total net proceeds of approximately $121.4 million, after deduction of underwriting discounts and commissions and estimated expenses. The underwriters retain an option to purchase an additional 1,400,000 shares until May 8, 2011.


A copy of the Company’s press release relating to the closing, dated April 13, 2011, is attached hereto as Exhibit 99.1 and incorporated herein by reference.
