Item 1.01 Entry into a Material Definitive Agreement.

On April 18, 2008, Allegiant Air, LLC ("AAir"), a wholly-owned subsidiary of Allegiant Travel Company (the "Company"), entered into a Loan Agreement with Bank of Nevada under which it has loaned AAir $18.0 million secured by certain of AAir’s unencumbered aircraft. The notes evidencing the loan bear interest at the rate of six percent (6%) per annum and will be amortized in monthly installments over 48 months. The Company has guaranteed the debt.
