Item 8.01 Other Events.

On December 19, 2007, Cooper Tire & Rubber Company, a Delaware corporation (the "Company"), announced that on December 18, 2007, the Board of Directors of the Company (the "Board") appointed President and Chief Executive Officer Roy V. Armes to also serve as Chairman of the Board of the Company. The Company also announced that the Board dissolved the position of Office of the Chairman and appointed Director John F. Meier to serve as Lead Director for the Board. A copy of the press release announcing these actions is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
