Item 8.01 Other Events.

On June 7, 2007, Analogic Corporation (the "Registrant") issued a press release announcing that its Board of Directors on June 5, 2007 had authorized the repurchase of up to $60,000,000 of the Registrant’s common stock. The repurchase program will be funded using the Registrant’s available cash. A copy of the press release is attached hereto as Exhibit 99.1.
