Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective November 20, 2006, Mr. Paul M. Isabella has decided to pursue other opportunities outside Cooper Industries. For the past 20 months, Mr. Isabella served as the Executive Vice President over five Cooper Divisions that have significant sales through electrical distributors. Until further notice, the Presidents of the five divisions will report directly to Kirk S. Hachigian, Chairman, President and Chief Executive Officer.
