Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 24, 2005, Mr. Gregory A. Pratt was elected to the Board of Directors of AmeriGas Propane, Inc., the general partner of AmeriGas Partners, L.P. Mr. Pratt was also appointed to the Audit Committee of the Board of Directors.

Mr. Pratt is Vice Chairman and a director of OAO Technology Solutions, Inc. ("OAOT"), an information technology and professional services company (2002 to present). He joined OAOT in 1998 as President and Chief Executive Officer after OAOT acquired Enterprise Technology Group, Inc., a software engineering firm founded by Mr. Pratt. Mr. Pratt served as President and Chief Operating Officer of Intelligent Electronics, Inc. (1991 to 1996), and was co-founder, and served variously as Chief Financial Officer and President of Atari Corporation (1984 to 1991).
