Item 5.02        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. 

On April 28, 2008, Washington Mutual, Inc. (the “Company”) replaced Ronald J. Cathcart with John P. McMurray as Chief Enterprise Risk Officer of the Company.  Mr. McMurray previously served as the Company’s Chief Credit Officer since joining the Company in 2007 from Countrywide Financial Corporation, where he was Senior Managing Director and Chief Risk Officer.  Prior to joining Countrywide, Mr. McMurray served in senior leadership positions responsible for credit risk management for a number of mortgage-related companies, including Freddie Mac and Crestar Mortgage Corporation.
