Item 2.02

Results of Operations and Financial Condition.

On February 1, 2018, Lazard Ltd (the “Company”) issued a press release announcing financial results for its full year 2017 and fourth quarter ended December 31, 2017. A copy of the Company’s press release containing this information is being furnished as Exhibit 99.1 to this Report on Form 8-K and is incorporated herein by reference.

Other Events.

The Company currently expects that the vesting and settlement of certain deferred incentive compensation awards that were previously granted to the Company’s employees under the Lazard Ltd 2008 Incentive Compensation Plan (other than the Company’s named executive officers) and that were originally scheduled to vest on March 1, 2018 may be accelerated to occur on one or more earlier dates during February 2018.
