Item 8.01 Other Events.

As previously reported on a Current Report on Form 8-K by Caesars Entertainment Corporation (“CEC”), on January 15, 2015 Caesars Entertainment Operating Company, Inc. (“CEOC”), a majority owned subsidiary of CEC, and certain of CEOC’s wholly owned subsidiaries (collectively, the “Debtors”) filed voluntary petitions for reorganization under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Northern District of Illinois (the “Bankruptcy Court”). On January 17, 2017, the Bankruptcy Court entered an order (the “Confirmation Order”) confirming the Debtors’ Third Amended Joint Plan of Reorganization (the “Plan”).

On January 17, 2017, CEC issued a press release in connection with the Confirmation Order. A copy of the press release is attached hereto as Exhibit 99.1, and is incorporated into this report by reference.

Important Additional Information

Pursuant to the Amended and Restated Agreement and Plan of Merger, dated as of July 9, 2016, between CEC and Caesars Acquisition Company (“CAC”), among other things, CAC will merge with and into CEC, with CEC as the surviving company (the “Merger”). In connection with the Merger, CEC and CAC will file with the Securities and Exchange Commission (the “SEC”) a Registration Statement on Form S-4 that will include a joint proxy statement/prospectus, as well as other relevant documents concerning the proposed transaction.
