Item 7.01 Regulation FD Disclosure.
Jazz Pharmaceuticals plc (Parent) is furnishing, as Exhibit 99.2 to this Current Report on Form 8-K/A, a revised investor presentation, dated May 31, 2016 (the Investor Presentation), that was initially attached as Exhibit 99.2 to Parents Current Report on Form 8-K, dated May 31, 2016 (the Original Filing). The Investor Presentation attached as Exhibit 99.2 to the Original Filing contained certain errors on slide 24 of the Investor Presentation. The sole purpose of this Current Report on Form 8-K/A is to provide the revised Investor Presentation, which has been revised to provide the corrected slide 24. No other changes have been made to the Original Filing. The Investor Presentation related to the Agreement and Plan of Merger entered into on May 27, 2016 (the Merger Agreement), by and among Parent, Plex Merger Sub, Inc., a Delaware corporation and an indirect wholly-owned subsidiary of Parent (Purchaser), and Celator Pharmaceuticals, Inc., a Delaware corporation (the Target), pursuant to which Parent, through Purchaser, will commence a cash tender offer (the Offer) to acquire all of the outstanding shares of the Targets common stock, par value $0.001 per share, for $30.25 per share net to the seller in cash, without interest, on the terms and subject to the conditions set forth in the Merger Agreement.
The information in this Item 7.01 and in Exhibit 99.2 to this Current Report on Form 8-K/A shall not be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section or Sections 11 and 12(a)(2) of the Securities Act of 1933, as amended.
