Item 8.01. Other Events.

On May 16, 2016, Virgin America Inc. (“Virgin America” or the “Company”) and Alaska Air Group, Inc. (“Alaska Air Group”) each received a request for additional information (also known as a “second request”) from the U.S. Department of Justice pursuant to the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with Alaska Air Group’s proposed acquisition of Virgin America. A copy of the joint press release issued by Virgin America and Alaska Air Group relating to the second request is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Additional Information About the Merger and Where to Find It

This communication may be deemed to be solicitation material in respect of the merger of Virgin America with a wholly-owned subsidiary of Alaska Air Group. On April 22, 2016, Virgin America filed a preliminary proxy statement with the Securities and Exchange Commission (the “SEC”) in connection with the solicitation of proxies for the merger.
