(b) On February 5, 2015, Dennis Henner, PhD notified the Board of Directors (the Board) of Aerie Pharmaceuticals, Inc. (the Company) of his intention to resign as a director of the Company, effective as of February 5, 2015. Mr. Henners resignation was not the result of any dispute or disagreement with the Company or the Board on any matter relating to the operations, policies or practices of the Company. The Company expresses its appreciation for Mr. Henners service as a member of the Board.
