Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 5, 2015, Dennis Henner, PhD notified the Board of Directors (the “Board”) of Aerie Pharmaceuticals, Inc. (the “Company”) of his intention to resign as a director of the Company, effective as of February 5, 2015. Mr. Henner’s resignation was not the result of any dispute or disagreement with the Company or the Board on any matter relating to the operations, policies or practices of the Company. The Company expresses its appreciation for Mr. Henner’s service as a member of the Board.
