CEMEX, S.A.B. de C.V. (“CEMEX”) (NYSE: CX) informed the Mexican Stock Exchange (Bolsa Mexicana de Valores) today that unconditional clearance from the European Commission has been granted for the proposed Spanish portion of the overall transaction between Holcim and CEMEX. The consummation of the overall transaction is still subject to the negotiation of final binding agreements between Holcim and CEMEX.

This report on Form 6-K shall be deemed to be incorporated by reference into each of CEMEX’s Offer to Purchase, dated September 4, 2014, and Offering Memorandums, dated September 4, 2014.
