SWS-Hilltop Merger Update to Employees

 

Dear SWS Employee,

I am writing to convey a brief update on the progress of our pending merger with Hilltop. As you may have seen in our press release this morning, the Special Committee of our Board has set a new record date of October 3, 2014 for the special meeting of stockholders to vote on the merger with Hilltop. We continue to work diligently with the SEC and legal counsel to finalize the Form S-4/Proxy and have the Form S-4/Proxy declared effective. In order to align the record date with the expected timing of that process, the Special Committee set the new record date of October 3rd.

The Integration Committee continues to meet and work together to prepare for the anticipated merger of our businesses. We remain excited about the proposed transaction and continue to expect a closing date during the fourth quarter of 2014.

As mentioned before, we have set up an email address (merger@swst.com) and phone number (844-797-6374) as a point of contact. I will continue to do my best to communicate with you often, especially as we accomplish the major milestones of this transaction.
