Item 1.01 Entry into a Material Definitive Agreement.

On June 30, 2014, Foundation Medicine, Inc. (the “Company”) executed a Second Amendment to Lease (the “Amendment”) with ARE-MA Region No. 50, LLC (the “Landlord”) amending the Lease, dated March 27, 2013, as amended, by and between the Company and the Landlord (the “Lease”) for the Company’s headquarters located at 150 Second Street, Cambridge, Massachusetts (the “Premises”).

Pursuant to the Amendment, the Company has agreed to rent an additional 8,164 square feet of office and laboratory space on the first floor of the Premises (the “Additional Space”). The Company will pay rent for the Additional Space commencing November 1, 2014 at an annual base rental rate of $59.00 per square foot, escalating 3% annually on May 1, as well as its proportionate share of taxes and operating expenses. The base term of the Additional Space will expire on February 28, 2021.
