Common Stock, par value $1.00 per share    June 4, 2007    On June 4, 2007, the Issuer completed its acquisition (the “Acquisition”) of the Brooks and Eckerd drugstore chains from The Jean Coutu Group (PJC) Inc., a Quebec corporation (“PJC”). Pursuant to the terms of the Acquisition, the Issuer paid approximately $2.36 billion in cash, and issued 250,000,000 shares of Issuer’s Common Stock, to PJC.    Issuer         250,000,000         June 4, 2007    The shares of Common Stock were initially acquired as consideration in the Acquisition.
INSTRUCTIONS:   

1. If the securities were purchased and full payment therefor was not made in cash at the time of purchase, explain in the table or in a note thereto the nature of the consideration given. If the consideration consisted of any note or other obligation, or if payment was made in installments describe the arrangement and state when the note or other obligation was discharged in full or the last installment paid.

REMARKS:

(1) This Form 144/A amends the Form 144 filed by The Jean Coutu Group (PJC) Inc. (“PJC”) on April 15, 2013, in which the number of shares of the Issuer’s common stock reported to be sold by PJC was 72,500,000 shares. On April 16, 2013, PJC sold 72,500,000 shares of the Issuer’s common stock in brokers’ transactions. Based on the average weekly reported volume of trading of shares of the Issuer’s common stock on The New York Stock Exchange during the four calendar weeks preceding the date of this Form 144/A, an additional 40,500,00 shares of the Issuer’s common stock may be sold pursuant to Rule 144.
(2) Based on the closing price of the Issuer’s common stock on The New York Stock Exchange on June 24, 2013.
