Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 20, 2012 Edwin F. Weidig III, age 42, was appointed as Director of Finance and Principal Accounting Officer for NeoGenomics, Inc. Mr. Weidig has served as the Company’s Corporate Controller since joining the Company in October 2007. Prior to that, from May 2005 to October 2007 he was a Division Controller for Meritage Homes Corporation (NYSE:MTH) in Fort Myers, Florida, and prior to that from January 1999 to May 2005 he worked in public accounting for a local firm in Fort Myers Florida and for the PricewaterhouseCoopers office in Boston, Massachusetts. Mr. Weidig earned his Bachelor of Science degree in Business Administration from Merrimack College in North Andover, Massachusetts where he graduated Summa Cum Laude in 1999. Mr. Weidig holds an active CPA license with the state of Massachusetts.

NeoGenomics also announced today that Jerome J. Dvonch would no longer serve as Principal Accounting Officer but would remain with the Company in the role of Director of Finance – External Reporting.
